1. Agreement to Terms

TM Software Services provides technology consulting, software development, enterprise integration, and digital transformation services. Our services include but are not limited to:

• Oracle, SAP, Microsoft, and AWS implementation and consulting
• Custom software development and mobile app development
• Cloud migration, DevOps, and infrastructure management
• AI/ML solutions and data analytics
• Enterprise integration and API development
• Managed services and technical support

Specific service terms, deliverables, timelines, and pricing will be outlined in individual project agreements or Statements of Work (SOW) executed between the Company and the client.

3. Intellectual Property Rights

Unless otherwise stated in a specific project agreement:

• All content on this website, including text, graphics, logos, images, and software, is the property of TM Software Services and is protected by intellectual property laws
• Our proprietary tools, frameworks, methodologies, and reusable components remain the intellectual property of TM Software Services
• Client-specific deliverables and custom code developed under a project agreement will be subject to the IP terms specified in that agreement
• You may not reproduce, distribute, modify, or create derivative works from any content on our website without prior written consent

4. Client Responsibilities

As a client of TM Software Services, you agree to:

• Provide accurate and complete information necessary for project execution
• Designate authorized personnel for project communication and decision-making
• Provide timely feedback, approvals, and access to systems as required
• Ensure compliance with all applicable laws and regulations related to your business
• Make payments according to the agreed-upon schedule and terms
• Protect and maintain the confidentiality of any credentials or access provided by us

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of engagement. This includes but is not limited to technical specifications, business strategies, financial data, and customer information. Confidentiality obligations survive the termination of any agreement for a period of three (3) years unless otherwise specified in the project agreement. A separate Non-Disclosure Agreement (NDA) may be executed upon request.

6. Payment Terms

Payment terms will be specified in individual project agreements. General payment policies include:

• Invoices are due within 30 days of issuance unless otherwise agreed
• Late payments may incur interest charges at a rate of 1.5% per month
• All prices are exclusive of applicable taxes unless stated otherwise
• Project scope changes may result in revised pricing, which will be documented through a change order process
• We accept payments via bank transfer, credit card, and other agreed-upon methods

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• Our website and its content are provided "as is" without warranties of any kind, express or implied
• We do not warrant that our website will be uninterrupted, error-free, or free of viruses
• We do not guarantee specific results or outcomes from our services
• Third-party software and services integrated into our solutions are subject to their respective terms and warranties

8. Limitation of Liability

To the maximum extent permitted by applicable law, TM Software Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising from or related to the use of our website or services. Our total liability for any claim arising from a project engagement shall not exceed the total fees paid by the client for the specific project giving rise to the claim.

9. Termination

Either party may terminate a service engagement as follows:

• With 30 days written notice for convenience, unless otherwise specified in the project agreement
• Immediately upon material breach by the other party that remains uncured for 15 days after written notice
• Immediately if the other party becomes insolvent, files for bankruptcy, or ceases operations

Upon termination, the client shall pay for all services rendered and expenses incurred up to the termination date. All deliverables completed up to the termination date will be transferred to the client subject to receipt of full payment.

10. Indemnification

You agree to indemnify and hold TM Software Services, its directors, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of our website, violation of these Terms, or infringement of any third-party rights.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which TM Software Services is registered. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government regulations, power failures, internet disruptions, or cyberattacks.
